'Had better' implies that if it's not done, something bad will happen.
might/may as well indicating that it is probably better to do something than not to do it.had better 는조언을 따르지 않으면 문제나 위험이 따른다는 경고에 가까운 충고로 '~하는 편이 낫다' 는 뜻이고
may as well 은 다른 대안이 없어서 '~하는 편이 낫다' 는 뜻(이거라도 하자는 뉘앙스)이다.
I may as well go out tonight. There's nothing on television.(오늘밤에 외출하는게 낫겠다. TV에서 볼것도 없잖아)

had better 의 부정형은 had better not 으로 had better 를 must 와 같은 하나의 어휘로 생각하고,
그러면, may as well 의 부정형은 may as well not 이다. 이것도 하나의 어휘로 생각하면 쉽다.
